1) Scope

1.1 These General Terms and Conditions (hereinafter "GTC") of Lockenbox UG (limited liability) (hereinafter "Seller") apply to all contracts for the delivery of goods that a consumer or entrepreneur (hereinafter "Customer") concludes with the Seller regarding the goods presented by the Seller in its online shop. The inclusion of the Customer's own conditions is hereby rejected unless otherwise agreed.

1.2 For contracts regarding the delivery of vouchers, these GTC apply accordingly, unless explicitly stated otherwise.

1.3 A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that predominantly cannot be attributed to either their commercial or independent professional activity. An entrepreneur within the meaning of these GTC is a natural or legal person or a partnership with legal capacity that, when concluding a legal transaction, acts in the exercise of their commercial or independent professional activity.

1.4 The subject of the contract can – depending on the product description by the Seller – include both the supply of goods by means of a one-time delivery as well as the supply of goods by means of a continuous delivery (hereinafter "Subscription Contract"). In the case of a Subscription Contract, the Seller commits to delivering the contractually owed goods to the Customer for the duration of the agreed contract term at the contractually owed intervals.

2) Conclusion of Contract

2.1 The product descriptions contained in the Seller's online shop do not constitute binding offers from the Seller but serve as an invitation for the Customer to submit a binding offer.

2.2 The Customer can submit the offer via the online order form integrated into the Seller's online shop. After the Customer has placed the selected goods in the virtual shopping cart and completed the electronic ordering process, they submit a legally binding contract offer concerning the goods in the shopping cart by clicking the button that concludes the order process.

2.3 The Seller can accept the Customer's offer within five days,

  • by sending the Customer a written order confirmation or an order confirmation in text form (fax or email), with the receipt of the order confirmation by the Customer being decisive, or
  • by delivering the ordered goods to the Customer, with the receipt of the goods by the Customer being decisive, or
  • by requesting the Customer to make payment after the order has been placed.

If multiple of the above alternatives occur, the contract is concluded at the moment when one of the aforementioned alternatives occurs first. The period for accepting the offer begins on the day following the submission of the offer by the Customer and ends with the expiration of the fifth day following the submission of the offer. If the Seller does not accept the Customer's offer within the aforementioned period, this is deemed a rejection of the offer, resulting in the Customer no longer being bound to their declaration of intent.

2.4 If the payment method "PayPal Express" is selected, the payment processing is carried out via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter: "PayPal"), under the PayPal Terms of Use, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or, if the Customer does not have a PayPal account, under the conditions for payments without a PayPal account, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full. If the Customer selects "PayPal Express" as the payment method during the online ordering process, they simultaneously issue a payment order to PayPal by clicking the button that concludes the order process. In this case, the Seller already declares the acceptance of the Customer's offer at the moment the Customer triggers the payment process by clicking the button that concludes the order process.

2.5 When an offer is made via the Seller's online order form, the contract text is saved by the Seller after the conclusion of the contract and is transmitted to the Customer in text form (e.g., email, fax, or letter) after their order is sent. There is no further provision of access to the contract text by the Seller. If the Customer has set up a user account in the Seller's online shop prior to placing their order, the order data will be archived on the Seller's website and can be accessed by the Customer free of charge via their password-protected user account using the appropriate login details.

2.6 Before placing a binding order via the Seller's online order form, the Customer can recognize possible input errors by carefully reading the information displayed on the screen. An effective technical means for better detection of input errors can be the zoom function of the browser, which enlarges the display on the screen. The Customer can correct their entries within the electronic ordering process as long as they use the usual keyboard and mouse functions until they click the button that concludes the order process.

2.7 The German and English languages are available for the conclusion of the contract.

2.8 The order processing and contact usually take place via email and automated order processing. The Customer must ensure that the email address provided for order processing is correct so that emails sent by the Seller can be received at that address. In particular, the Customer must ensure that all emails sent by the Seller or by third parties commissioned with order processing are delivered when using SPAM filters.

3) Right of Withdrawal

3.1 Consumers generally have a right of withdrawal.

3.2 Further information on the right of withdrawal can be found in the Seller's withdrawal information.

4) Prices and Payment Terms

4.1 Unless otherwise stated in the product description by the Seller, the prices quoted are total prices that include the statutory value-added tax. Any additional delivery and shipping costs will be stated separately in the respective product description.

4.2 The payment option(s) will be communicated to the Customer in the Seller's online shop.

4.3 If payment is made using a payment method offered by PayPal, the payment processing is carried out via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter: "PayPal"), under the PayPal Terms of Use, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full or, if the Customer does not have a PayPal account, under the conditions for payments without a PayPal account, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full.

4.4 If the payment method credit card via Stripe is selected, the invoice amount is due immediately upon conclusion of the contract. Payment processing is carried out via the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland (hereinafter: "Stripe"). Stripe reserves the right to conduct a credit check and reject this payment method in case of a negative credit check.

5) Delivery and Shipping Conditions

5.1 Delivery of goods is made by shipping to the address provided by the Customer unless otherwise agreed. The delivery address specified in the order processing of the Seller is decisive for the execution of the transaction.

5.2 If the delivery of the goods fails for reasons for which the Customer is responsible, the Customer bears the reasonable costs incurred by the Seller as a result. This does not apply to the costs for the initial delivery if the Customer effectively exercises their right of withdrawal. The provisions in the Seller's withdrawal information regarding the return shipping costs apply in the case of effective exercise of the right of withdrawal by the Customer.

5.3 Self-pickup is not possible for logistical reasons.

5.4 Vouchers are provided to the Customer as follows:

6) Duration of Contract and Termination of Subscription Contracts 6.1 Subscription contracts are concluded for an indefinite period and can be terminated by the customer at any time with a click through the customer account or by contacting support@lockenbox.com. The notice period for the subscription box is the 4th of the respective month, as the charge for the underlying monthly box goes through from the 5th of the month. After this date, cancellation of the delivery is no longer possible due to logistical processing.

6.2 The right to extraordinary termination for important reasons remains unaffected. An important reason exists if, taking into account all circumstances of the individual case and weighing the interests of both parties, the continuation of the contractual relationship until the agreed termination or until the expiration of a notice period cannot be reasonably expected of the terminating party.

6.3 Terminations can be made by clicking through the customer account.

7) Retention of Title If the seller provides services in advance, they retain ownership of the delivered goods until full payment of the purchase price has been made.

8) Liability for Defects (Warranty) 8.1 If the purchased item is defective, the statutory provisions on liability for defects apply.

8.2 The customer is requested to report any obvious transport damage upon delivery to the carrier and inform the seller. Failure to do so will not affect their statutory or contractual claims for defects.

9) Redemption of Promotional Vouchers 9.1 Vouchers that the seller issues free of charge as part of promotional campaigns with a specific validity period and that cannot be purchased by the customer (hereinafter "promotional vouchers") can only be redeemed in the seller's online shop and only within the specified period.

9.2 Promotional vouchers can only be redeemed by consumers.

9.3 Individual products may be excluded from the voucher campaign if such a restriction is stated in the content of the promotional voucher.

9.4 Promotional vouchers can only be redeemed before completing the ordering process. Subsequent offsetting is not possible.

9.5 Only one promotional voucher can be redeemed per order.

9.6 The value of the goods must at least equal the amount of the promotional voucher. Any remaining balance will not be refunded by the seller.

9.7 If the value of the promotional voucher is insufficient to cover the order, one of the other payment methods offered by the seller can be chosen to pay the difference.

9.8 The balance of a promotional voucher will neither be paid out in cash nor accrue interest.

9.9 The promotional voucher will not be refunded if the customer returns the goods paid for in whole or in part with the promotional voucher under their statutory right of withdrawal.

9.10 The promotional voucher is transferable. The seller can discharge their obligation to the respective holder who redeems the promotional voucher in the seller's online shop. This does not apply if the seller is aware or grossly negligent in not knowing about the holder’s lack of entitlement, legal capacity, or absence of representation rights.

10) Redemption of Gift Vouchers 10.1 Vouchers that can be purchased through the seller's online shop (hereinafter "gift vouchers") can only be redeemed in the seller's online shop unless stated otherwise in the voucher.

10.2 Gift vouchers and any remaining balances on gift vouchers are redeemable until the end of the third year after the year of purchase. Remaining balances will be credited to the customer until the expiration date.

10.3 Gift vouchers can only be redeemed before completing the ordering process. Subsequent offsetting is not possible.

10.4 Only one gift voucher can be redeemed per order.

10.5 Gift vouchers can only be used for the purchase of goods and not for the purchase of additional gift vouchers.

10.6 If the value of the gift voucher is insufficient to cover the order, one of the other payment methods offered by the seller can be chosen to pay the difference.

10.7 The balance of a gift voucher will neither be paid out in cash nor accrue interest.

10.8 The gift voucher is transferable. The seller can discharge their obligation to the respective holder who redeems the gift voucher in the seller's online shop. This does not apply if the seller is aware or grossly negligent in not knowing about the holder’s lack of entitlement, legal capacity, or absence of representation rights.

11) Applicable Law For all legal relationships between the parties, the law of the Federal Republic of Germany shall apply, excluding the laws on the international sale of goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the state in which the consumer has their habitual residence.

12) Jurisdiction If the customer acts as a merchant, a legal entity under public law, or a public-law special fund with its registered office in the territory of the Federal Republic of Germany, the exclusive jurisdiction for all disputes arising from this contract shall be the seller’s registered office. If the customer is located outside the territory of the Federal Republic of Germany, the seller’s registered office shall be the exclusive jurisdiction for all disputes arising from this contract if the contract or claims from the contract can be attributed to the customer’s professional or commercial activity. In these cases, however, the seller is always entitled to bring the case before the court at the customer’s location.

14) Alternative Dispute Resolution 14.1 The EU Commission provides an online platform for dispute resolution at the following link: https://ec.europa.eu/consumers/odr.

This platform serves as a point of contact for the out-of-court settlement of disputes arising from online purchase or service contracts involving a consumer.

14.2 The seller is neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
